Nexnodic — Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you" or "User") and B Adroit LLC ("B Adroit," "we," "us," or "our"), the maker of the Nexnodic browser extension and related websites and services (together, the "Service"). By installing, accessing, or using the Service — or by clicking "I agree" or subscribing to a paid plan — you agree to these Terms and to our Privacy Policy. If you do not agree, do not install or use the Service.

1. The Service

Nexnodic is a browser extension that adds conversation-management tools (pinning, collapsing, saved "memories," a prompt library, folder organization, client-side export, a floating command line, and optional resilience tools) on top of Google Gemini at gemini.google.com, together with optional account sign-in, an optional Google Drive sync feature, and paid Premium features. Nexnodic is an independent product and is not affiliated with, endorsed by, or sponsored by Google LLC.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service, and you must be able to form a legally binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to that organization.

3. Accounts

Nexnodic works without an account for the free tier. Some features (including Premium) require you to sign in with your email address via a one-time code (OTP). You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it. You agree to provide accurate information and to notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

4. License to use the extension

Subject to these Terms, B Adroit grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Service for your own personal or internal business use. This license does not transfer any ownership rights.

5. Acceptable use

You agree not to, and not to permit anyone else to:

  • copy, modify, translate, reverse engineer, decompile, or disassemble the Service, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law;

  • rent, lease, sell, sublicense, distribute, or otherwise commercially exploit the Service, or remove or alter any proprietary notices;

  • circumvent, disable, or interfere with the Service's licensing, feature-gating, usage limits (including the feedback rate limits), security, or authentication;

  • use the Service to violate any law, infringe any third party's rights, or breach Google's or any third party's terms of service;

  • introduce malware, attempt to gain unauthorized access to our systems or other users' data, or probe, scan, or test the vulnerability of our infrastructure without authorization;

  • use the Service to send spam or to abuse the in-product "Report an Issue" or support channels; or

  • use automated means to access the Service in a way that imposes an unreasonable load on our infrastructure.

We may investigate and take appropriate action, including suspending or terminating access, for any suspected violation.

6. Free and Premium tiers; feature limits

The Service offers a free tier with usage limits (for example, caps on folders, saved prompts, memories, and pins) and a paid Premium tier that unlocks additional features and removes or raises those limits. The specific features and limits of each tier are described on the pricing page (https://badroit.com/nexnodic/pricing) and may change over time. We may add, modify, or discontinue features, and adjust free-tier limits, at our discretion; where a change materially reduces a paid benefit during your paid term, §7 (price and plan changes) applies.

7. Premium subscriptions, billing, and cancellation

7.1 Billing provider. Premium subscriptions are sold and billed through Stripe. By subscribing, you also agree to Stripe's applicable terms. We do not receive or store your full payment-card details (see the Privacy Policy).

7.2 Anniversary billing and auto-renewal. Premium is a recurring subscription billed on an anniversary basis. Your subscription begins on the date your first payment is processed (your "anniversary date") and automatically renews at the start of each successive billing period (for example, monthly or annually, according to the plan you selected) on the corresponding anniversary date, using your saved payment method, until you cancel. Each renewal is charged at the then-current rate for your plan. Where a renewal date does not exist in a given month (e.g., the 31st), the charge occurs on the last day of that month.

7.3 Authorization. You authorize B Adroit and Stripe to charge your payment method for the subscription fee, plus applicable taxes, on your anniversary date and on each renewal, until you cancel.

7.4 Cancellation. You may cancel at any time through the billing/account portal made available in the checkout or account flow. Cancellation stops future renewals. When you cancel, you retain Premium access through the end of the billing period you have already paid for, and you are not charged again after that period ends. Access then reverts to the free tier.

7.5 Refunds. All sales are final. Because Nexnodic offers a robust free tier that lets you evaluate the product before purchasing, all Premium fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused features, or downgrades, except where strictly required by applicable law.

7.6 Price and plan changes. We may change subscription prices and plan contents. If we increase the price of your plan, we will give you advance notice by a reasonable method (for example, email or in-product notice) before it takes effect. The new price applies to renewals on or after your next anniversary date; if you do not agree, you may cancel before that renewal.

7.7 Taxes. Stated prices may exclude applicable sales, use, VAT, GST, or similar taxes. You are responsible for any such taxes, which may be added at checkout or on renewal.

7.8 Failed payments. If a charge fails, we (via Stripe) may retry the charge and may suspend or downgrade your Premium access until payment succeeds.

7.9 Free trials / promotions. If we offer a free trial or promotional rate, the terms disclosed at sign-up control. Unless stated otherwise, a subscription that includes a trial converts to a paid, auto-renewing subscription at the end of the trial unless you cancel beforehand.

8. Your content and data

You retain all rights to the content you create or store through the Service (your "memories," pins, prompts, folders, and settings). Nexnodic is local-first: this content is stored on your device and, if you opt in to Cloud Sync, in your own Google Drive application-data folder. We do not claim ownership of your content and we do not sell it. Our handling of the limited data we do process (such as your email and subscription status) is described in the Privacy Policy. You are solely responsible for your content and for maintaining your own backups; uninstalling the extension or clearing browser storage may permanently delete locally stored data.

9. Third-party services

The Service interoperates with third-party services you choose to use, including Google Gemini (the site the extension runs on), Google Drive (optional sync), Stripe (payments), Supabase (authentication and subscription records), and Vercel (our serverless backend). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and changes they make (for example, to Google Gemini's page structure) may affect the Service's functionality.

10. Intellectual property

The Service, including the extension software, its user interface, the Nexnodic name and logo, and all related content (excluding your content and third-party materials), is owned by B Adroit LLC and protected by intellectual-property laws. Except for the limited license in §4, no rights are granted to you. Bundled open-source components (for example, DOMPurify) are licensed under their own respective licenses.

11. Feedback

If you send us suggestions, ideas, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without restriction or obligation to you.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH ANY PARTICULAR VERSION OF GOOGLE GEMINI OR YOUR BROWSER, OR THAT DEFECTS WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, B ADROIT LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify and hold harmless B Adroit LLC and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

15. Suspension and termination

You may stop using the Service at any time by uninstalling the extension. We may suspend or terminate your access to the Service (or any feature) at any time if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, the licenses granted to you end; sections that by their nature should survive (including §§ 8, 10–14, 16–17) survive termination. Termination does not entitle you to a refund except as required by law or expressly stated in §7.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of Colorado, USA, without regard to its conflict-of-laws rules. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding, individual arbitration in Denver, Colorado, and not in court, except that either party may bring an individual claim in small-claims court where eligible. You and B Adroit LLC each waive any right to a jury trial and any right to participate in a class action, class-wide arbitration, or any other representative or consolidated proceeding. If any portion of this class-action waiver is found unenforceable, the remainder of this Section 16 remains in effect. To the extent any dispute is not subject to arbitration, it shall be brought exclusively in the state or federal courts located in Denver, Colorado, and you consent to their personal jurisdiction. Some jurisdictions do not permit certain arbitration or class-waiver provisions, so parts of this section may not apply to you.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide notice by a reasonable method (for example, email or an in-product notice). Changes are effective when posted at https://badroit.com/terms. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, stop using the Service.

18. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and B Adroit regarding the Service and supersede any prior agreements.

  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be enforced to the maximum extent permissible.

  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

  • Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.

  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.

  • Relationship. Nothing in these Terms creates a partnership, agency, or employment relationship between you and B Adroit.
